1. Acceptance of Terms

By accessing or using the OKNote website, account, or software (the "Services"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Services

OKNote is self-hosted, proprietary software for notes, mail, and tasks that you deploy and run on your own server, NAS, or hosting environment, under the license described in Section 7. We currently do not operate a cloud-hosted version of OKNote — the website provides information, downloads, purchase/licensing, and account management. Paid plans unlock additional features and capacity beyond the free plan; see our pricing page for details.

3. Accounts and Registration

To purchase a license, manage a subscription, or access certain website features, you must create an account with a valid email or phone number. You are responsible for keeping your credentials secure and for all activity under your account, and must notify us promptly of any unauthorized use. You must provide accurate information and be legally able to enter into these Terms.

4. Subscriptions, Payments, and Auto-Renewal

Some plans are offered as paid subscriptions or one-time purchases.

• Apple in-app purchases: when you purchase through the Apple App Store, payment is charged to your Apple ID and is governed by Apple's terms in addition to these Terms.
• Auto-renewal: subscriptions automatically renew for the same period unless you cancel at least 24 hours before the end of the current period, and your account is charged for renewal within the 24 hours before the period ends.
• Managing and canceling: you can manage or cancel a subscription in your Apple ID account settings; deleting the app does not cancel a subscription.
• Refunds: refunds for App Store purchases are handled by Apple according to Apple's policies. For purchases made through other channels, contact us at service@oknote.vip.
• Price changes: we may change prices; changes apply to future billing periods and, where required, we will notify you in advance.

5. Acceptable Use

You agree not to:

• Violate any law or the rights of others;
• Upload or distribute unlawful, infringing, or harmful content through the website or account system;
• Interfere with, disrupt, or attempt to gain unauthorized access to the website, account system, or other users' accounts;
• Reverse engineer, decompile, disassemble, resell, sublicense, or otherwise misuse the software, except to the extent such restriction is prohibited by applicable law;
• Use the Services to send spam or malware.

6. Your Content and Ownership

All notes, mail, tasks, and other content you create using OKNote are stored on your own self-hosted server. You retain all rights to that content, and we do not access, store, or have any rights to it.

Any information you provide to us through the website or account system (such as your account details) is handled as described in our Privacy Policy.

7. Software License

OKNote is proprietary, closed-source software — it is not open source. Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable license to install and use the OKNote software on infrastructure you control, for the plan you purchased (or the free plan, where applicable).

You may not copy, modify, decompile, reverse engineer, resell, sublicense, rent, lease, or redistribute the software, or remove any copyright, trademark, or proprietary notices, except to the extent expressly permitted by applicable law notwithstanding this restriction.

Paid plans (such as Family, Pro, or Enterprise) unlock additional features, user seats, or capacity beyond the free plan; the exact scope of each plan is described on our pricing page and may change over time. Your license is limited to the features included in the plan you purchased.

8. Intellectual Property

The OKNote name, logo, software, and website (excluding your content) are owned by us or our licensors and protected by intellectual-property and copyright laws. These Terms do not grant you any right to our trademarks, and do not transfer ownership of the software to you.

9. Disclaimer

The website, account system, and software are provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. Because OKNote is self-hosted, you are solely responsible for the security, availability, and backup of your own deployment and data.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill arising from your self-hosted deployment or use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us in the twelve months before the claim.

11. Changes and Termination

We may modify, suspend, or discontinue any part of the website or account system at any time. We may suspend or terminate your account if you violate these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Disputes arising from these Terms shall be submitted to the competent people's court in Chongqing, unless otherwise required by applicable mandatory law.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide a more prominent notice. Continued use after an update means you accept the revised Terms.
